Job summary

Coventry & Rugby GP Alliance (CRGPA) is looking for a Head of Corporate Affairs & Governance who has an in-depth professional knowledge of corporate governance procedures and practices in relation to the health sector and private limited companies. They will be an experienced, hands-on and self-motivated individual with excellent organisational, communication, report writing and interpersonal skills. The post holder will be required to liaise and work closely and effectively with senior colleagues to deliver a range of functions.

The post holder will ensure that in accordance with best practice, the Board and its Directors will have arrangements in place to ensure compliance with relevant legislation and regulations; internal policies and procedures; and to ensure the organisation is lawful.

They will ensure that all Registers and reports required by relevant legislation are established and maintained, and along with any appropriate reports, ensure they are available for inspection.

Main duties of the job

The post holder will provide specialist advice across CRGPA in relation to controls and assurances for a range of areas to support the effective management of non-clinical risk and governance.

The post holder will have responsibility for corporate governance arrangements including the CRGPA Board Assurance Framework (BAF), the corporate risk register and information governance standards, and ensure the demonstration of learning and continual improvement.

The post holder will have line management responsibility for the Executive Assistant; and be a member of the Senior Leadership Team, and an attendee of the CRGPA Board.

Job description

Job responsibilities

Board Assurance:

· Oversight and maintenance of the corporate Risk Register.

· Coordinating and administering the process for maintaining the Board Assurance Framework (BAF), ensuring that this runs smoothly and taking responsibility for the effective functioning and oversight of CRGPA’s BAF and processes.

· Supporting the Chief Officers and the Senior Management Team to ensure that updates are made in a timely manner to provide evidence-based assurance and to allow effective reporting to, and discussion at, Board and bi-monthly Committee meetings; working to agreed timeframes; and ensuring relevant follow up between meetings. This will include on-going objective review of the quality of the data within the BAF, advising on risk and assurance ratings, escalation, ensuring a level of rigor and challenge to risk mitigation and review.

· Liaise with and support Chief Officers and action owners on progress against defined actions to close gaps in control and assurance, and movements in risk scores and RAG ratings.

· Prepare clear and structured assurance reports to the Board and Committees, highlighting pertinent points that may require discussion, clarification, or challenge, and supporting the Board/Committees/Chief’s s in their discussions.

· Overseeing the interface between the BAF and the corporate risk register, ensuring that corporate red risks that may impact the delivery of strategic sub-objectives are identified, recorded in the BAF and monitored.

Board Secretary

· Lead and manage the administration of Board and Committee meetings.

· With the Chair and Chief Executive, agree and manage the Board agendas and annual work program.

· Support the committee NED Chairs with the development of their respective agendas and annual work programs.

· Lead the annual review of Board and Committee effectiveness.

· Collate the information required for the Annual Report.

· Ensure the correct use and safe custody of the CRGPA seal, including maintenance of a register of sealings, as specified in the Standing Orders.

· Supporting the appointment and induction of Practice Directors and Non-Executive Directors.

· Ensuring the organisation’s website is fully up to date in relation to all aspects of corporate governance.

· Lead a systemic approach to corporate governance throughout the organisation.

· Working on specific projects on behalf of the Chief Executive as required.

Conflicts of Interest

· Function as the first point of contact in relation to conflict of interests, and being responsible for oversight of the system for declarations of interest across the organisation including six monthly reviews

General

· Develop policies and procedures to monitor corporate and information governance.

· Ensure compliance with all policies and procedures, including review, categorising and publication.

· Monitor compliance with timelines in relation to the reporting of serious incidents, never events, complaints, Freedom of Information (FOIs) Subject Access requests (SARs) and MP letters.

· Deal with enquiries in a suitable and professional manner, including member of the public, GP practices and other healthcare professionals, voluntary agencies, NHS England, other GP Provider organisations and providers.

· Responsibility for corporate records management and version control across CRGPA.

· Support the Caldicott Guardian to discharge their legal and contractual responsibilities.

· Provide the Board with written reports for the monthly board meetings and sub committees as required and requested.

· Participate in cover arrangements as requests to manage planned and unplanned team absences.

· Prioritise workload as necessary, including working to deadlines required by the Board and the Chief Executive.

· Scan information and alert the Chief Executive to negative trends, risks and intelligence that may compromise the safety and quality of the service which CRGPA provides.

· Lead on Board development sessions and activities;

· Produce and deliver presentations for the board and external organisations.

· Ensures that CRGPA establishes and develops effective corporate governance and risk management networks working closely with other GP Provider organisations and CCG’s.
