Job summary

An exciting opportunity has arisen to join NHS West Yorkshire Integrated Care Board's Corporate Affairs Directorate. This newly created role will lead on the strategic and operational oversight of the ICB Corporate Governance function, managing a team of governance professionals who are responsible for maintaining the highest levels of corporate governance within the ICB and its five Places.

Main duties of the job

Reporting to the Director of Corporate Affairs, and working closely with the Head of Partnership Governance, this role will lead on issues relating to corporate governance and work to ensure the ICBs corporate affairs are undertaken and directed to the highest standards of probity and according to statutory and legislative requirements.

Job responsibilities

Main duties and responsibilities:

Responsible for setting out the strategic approach to corporate governance across the ICB ensuring that business is conducted in a way that is fair, honest, open, and transparent preserving the reputation of the organisation.

Responsible for providing expert advice on the relevant statutory and regulatory duties, ensuring that the ICB Board, its committees, directors, and wider staff are properly informed and advised at all times, including the provision of professional advice at formal meetings in public of the ICB Board and its committees.

Ensure that Board and committee business is effectively planned and co-ordinated through the production of annual forward plans. Oversee the organisation of Board and committee meetings, ensuring proper and appropriate co-ordination, an effective flow of information and that all meetings are minuted.

Provide ICB leadership on system-wide health and social care strategic governance developments including integrated or collaborative commissioner/provider arrangements across the Integrated Care System.

Responsible for ensuring that the ICB appropriately manages conflicts of interest including the provision of support to the ICBs Conflicts of Interest Guardian.

Responsible for the processes associated with ICB Board and committee member recruitment and selection, tenure, statutory and mandatory training, and annual appraisal process.

Responsible for the production of the Annual Report and the Annual Governance Statement and compliance with other governance reporting requirements for example to NHS England.

Develop and deliver risk management and assurance processes, continuously improving these in line with good practice. Responsible for coordinating the Risk Register and Board Assurance Framework to facilitate identification and continuous management of risk, ensuring appropriate reporting to the Board, its committees, and Executive Management Team.

Responsible for ensuring a robust incident management process is in place, with oversight of reported incidents and near misses.

Responsible for the development, review, implementation, and audit of compliance with strategies, policies, and procedures which impact across the organisation.

Work with the Chair, Chief Executive and Director of Corporate Affairs to develop and implement a programme of Board development sessions.

Undertake regular reviews of the ICBs corporate governance arrangements and report findings and recommendations to the Board and its committees.

Review, propose and implement changes to the ICB Constitution including submitting applications for amendment to NHS England. Report to the Board and Audit Committee on any matters of non-compliance.

Be the holder of the Company Seal and ensure its safe custody and appropriate use in line with the ICB Constitution.

Work closely with Internal Audit on corporate governance related audit reviews, to ensure the ICB delivers on its responsibilities effectively and efficiently in line with the annual audit plan.

Facilitate the development and maintenance of strong relationships with ICB partners and stakeholders.

Work alongside the Head of Partnership Governance to support the ongoing evolution and design of ICB and place-based partnership governance arrangements.

Essential

  • Formal training or qualification to masters level or equivalent experience of working at a senior level in the specialist area

Desirable

  • ICSA qualification / ICSA advanced certificate in health service governance

  • Experience of using performance management/improvement systems
  • Experience of leading and implementing medium and long term strategy in own service area
  • Experience of providing senior management support, advice and guidance to a Board including regular attendance at Board meetings.
  • Experience of leading and chairing meetings.
  • Knowledge of committee processes within an NHS or local government environment
