An exciting opportunity has arisen for a talented governance professional to join our team todrive the delivery of a comprehensive corporate governance service to the ICB. This is adynamic and impactful role that requires a blend of strategic thinking, governance expertise,and strong interpersonal skills.
You will be an integral part of a team that works alongside the most senior members of the ICB, including the ICB Chair and Board members, the Chief Executive and the ExecutiveManagement Team.
The successful candidate will combine excellent subject matter expertise and knowledge of corporate governance, legislation and regulation, with exceptional communication andorganisational skills. You will lead and drive the continuous improvement and maintenance ofcorporate governance processes at the highest standards of probity and in accordance withall statutory and legislative requirements.

Main duties of the job
Primary responsibility as Associate Company Secretary, for the discharge of the ICB'sfunctions relating to compliance and corporate governance advice to the ICB Chair, CEO,Executive Directors and the wider ICB; ensuring adherence to statutory and mandatedobligations.Ensuring the ICB's responsibilities under the regulatory framework are complied with,including, those relating to:o management of amendments to the ICB's constitutional documentso production and completion of the ICB's annual reporto oversight of the Annual General MeetingAct as lead:o in the pursuance of legal adviceo in facilitating the work of internal and external auditorso in liaison with the NHS litigation serviceo for the drawing up and/or review of legal corporate documentation (e.g. Section 75agreements, schemes of delegation, etc)o for development and oversight of the ICB's risk management framework and associatedBoard Assurance Framework through clear process and liaison with ICB Committee Chairs andkey members of the ICB. Proactively lead the development, implementation, and on-goingmanagement of an ICS system wide risk processDirect line management and lead responsibility for key Corporate Governance andCompliance processes including:o Committee support and governanceo FOIso Conflicts of InterestWorking with the People and Culture function drive the Fit and Proper Persons Test for ICBBoard Members and appropriate senior managers
