The Company Secretary is accountable to the Chief Executive Officer and reports to both the Chair and the Chief Executive to provide independent advice.They will support the Chair and Chief Executive to meet their obligations, to ensure that the Trust maintains ongoing compliance with the regulatory frameworks and the terms of its Licence.The post holder is responsible for establishing and maintaining the highest levels of Corporate Governance.

Main duties of the job
They have primary responsibility for
Maintaining the highest levels of Corporate Governance and providing advice and support to the Chair and Chief Executive in this regard
Supporting Trust Board compliance with all relevant legislation and regulations, the Code of Governance and the current terms of authorisation issued by the regulator (NHSI/E)
Ensure that the Board of Directors and its Committees are properly constituted, operated and supported, according to Standing Orders and the regulatory framework
Development for the Board of Directors and Council of Governors
Management of the Board Assurance Framework and Corporate Risk Register
Leadership of the Corporate Governance agenda
Management of the Trust Membership and Council of Governors
Leadership of the Trust secretariat and risk management team
Co-ordinating AGMs, the annual report and statutory reporting requirements

- Educated to master's degree or equivalent level management qualification
- Qualified Chartered Secretary or professional governance equivalent
- Proven significant post-qualification experience of working within a corporate governance environment
- Evidence of Continued Professional Development
Experience and Knowledge
Essential
- Have a demonstrable track record of working at senior level in a company secretarial environment in a substantial complex public or private sector organisation.
- Have experience of working within an organisation under political and public scrutiny
- Have experience of writing Board and committee papers and dealing with highly complex subject matter
- Demonstrate experience of researching and applying best practice in corporate governance.
- Have experience of effective partnership and working with internal and external stakeholders, including working across multiple teams and disciplines.
- Have experience of managing through to completion, often over extended timeframes, many projects simultaneously, with the resultant need to constantly re-determine priorities which seek sensibly to balance the requirements of multiple, competing "clients"
- Have experience of handling confidential and delicate information with extreme sensitivity
- Have experience of managing staff
