Job summary
We are looking for a Trust Secretary who will manage all corporate and Board business and be responsible for ensuring that there are sound and integrated corporate governance policies, procedures and structures in place; and that the Trust complies with its legal, constitutional and regulatory requirements and to manage risk effectively.
We are interested in hearing from people with significant experience in corporate governance who will be able to support and work with us to achieve our ambitions.
This is a full-time post and the successful applicant will be expected to work in person at Watford General Hospital.
Main duties of the job
The post holder must have advanced knowledge and practical application of NHS and public sector governance and have worked in a busy, pressurised environment. They will need to have the ability to think quickly, identify risks and propose solutions. It is vital that the post holder has well developed communication skills and is able to build good working relationships with colleagues across the organisation and with external stakeholders.
Reporting directly to the Director of Governance, the Trust Secretary will ensure that the Board complies with all relevant legislation. They will be responsible for the management of the Board Assurance Framework and, with the support of the Corporate Governance Manager, ensure the timely production and distribution of agenda, minutes and papers.

The success applicant will:
- Oversee the management of the Board and its Committee, including the timely production and distribution of agendas, minutes, papers.
- With the Chair, ensure that the Board and its committees are properly constituted, operated, and supported, according to the Standing Orders and the legislator / regulatory framework, including appropriate Terms of Reference and effectiveness reviews.
- Oversee the Trusts approach for maintaining a robust declaration of interests and gifts, sponsorship, and hospitality process.
- Lead on the arrangements and delivery of the Annual General Meeting to ensure that the Trust complies with legal requirements and the event is successful.
- Act as a channel of communication and information for Non-Executive Directors and manage recruitment processes.
- Draft the Annual Report and the Annual Governance Statement and ensure that the Annual Report is submitted to NHS England in line with national deadlines.
- Work in conjunction with the Director of Governance to commission an external well-led review, as required and in accordance with NHS England guidance.
- Draft and present reports to the Board and its sub-committees.
- Support and act as clerk to the Audit Committee, Charity Committee and Trust Management Committee meetings.
- Work with the Chair to construct a Board development programme and facilitate its delivery.
- Develop and maitain a rolling annual plan of meetings, and agenda items.
- Ensure that the Board Assurance Framework is developed and accurately maintained. Draft reports for Board and Committee to demonstrate the latest position with regard to corporate risks.
